Terms & Conditions
Draft. Have this reviewed by a lawyer before publishing — in particular the sections on intended use, warranty and liability, since the range includes substances without EU marketing authorisation.
§ 1 Scope
These General Terms and Conditions apply to all orders placed as a consumer or business through the online shop [shop domain] of [full company name] (the "Seller").
§ 2 Contracting party, formation of contract
The purchase contract is concluded with [full company name, address]. The presentation of products in the shop does not constitute a legally binding offer, but an invitation to order. By submitting your order, you make a binding offer. The Seller accepts this offer by an order confirmation email or by delivering the goods.
§ 3 Intended use of the products
All products offered in this shop are intended exclusively for research and laboratory purposes. They are not medicinal products, food, food supplements or cosmetics and are not intended for use in or on the human or animal body. By completing your order, you confirm that you are at least 18 years old and that you are purchasing and will use the products solely for the purposes stated above.
§ 4 Prices and shipping costs
Prices stated on the product pages [include/exclude] the applicable statutory VAT. The prices shown in the shop at the time of ordering apply. Additional shipping costs are shown on the shipping page and before you complete your order at checkout.
§ 5 Payment
Payment is made via the payment methods offered at checkout (including credit card, bank transfer, cryptocurrency). [Provider-specific details to be added once a payment provider is confirmed.]
§ 6 Delivery
Delivery is made within the timeframes stated on the shipping page to the delivery address you provide. Shipping takes place after payment is received. See the "Shipping and Payment" page for details.
§ 7 Retention of title
The delivered goods remain the property of the Seller until paid in full.
§ 8 Right of withdrawal
Consumers have a right of withdrawal in accordance with the separate withdrawal instructions. [Insert link to the withdrawal page.]
§ 9 Warranty
Statutory warranty rights apply. As the products are intended exclusively for research and laboratory purposes, the warranty relates to the agreed characteristics (in particular the values documented in the lab report for the batch delivered), not to suitability for any purpose beyond research use.
§ 10 Liability
The Seller is liable without limitation for intent and gross negligence, and under the Product Liability Act. For slightly negligent breaches of material contractual obligations, liability is limited to the typical, foreseeable damage. Liability for slightly negligent breaches is otherwise excluded. [This clause is sensitive under German standard-terms law and must be reviewed by a lawyer.]
§ 11 Governing law
The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of the country in which you have your habitual residence remain unaffected if you are a consumer.
§ 12 Dispute resolution
The Seller is not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
§ 13 Final provisions
Should any provision of these Terms be invalid, the validity of the remaining provisions remains unaffected.
